About the Trust

A development trust is a community-led organisation established to promote sustainable regeneration in a specific area. Independent by design, they operate in partnership with public, private, and non-profit sectors to address local economic, social, environmental, and cultural challenges through enterprise, self-reliance, and innovation.

What distinguishes a development trust from a conventional charity or business is its structure. It is owned and governed by the community it serves, reinvests all surpluses into that community, and is typically established as a perpetual succession trust, ensuring its mission endures regardless of changes in leadership or membership. Governance includes a diverse board of representatives drawn from across sectors, and many trusts create trading subsidiaries to generate sustainable income.

In practice, development trusts operate across a wide range of activities: restoring historic buildings, running healthcare and community facilities, managing renewable energy projects, bridging investment capital with local opportunity, and delivering job training. Their flexibility is precisely what makes them effective, as they are structurally able to respond to the specific conditions of the region they serve.

In the African context, development trusts represent a particularly powerful model. They offer a vehicle for economic empowerment, environmental stewardship, and social cohesion rooted in local ownership, channelling the continent's sovereign resources in service of its own people.

Africa's Sovereign Development Trust® (ASDT®) is a think tank and development trust: the continent's first Sovereign Development Trust, pairing policy authorship with operational infrastructure. Domiciled in The Seychelles as an irrevocable, non-charitable purpose trust established under the International Trusts Act 2022, with operational headquarters in Nairobi, Kenya, it is designed to work alongside the African Union, national governments, and existing continental institutions, building the legal, financial, and operational frameworks required for continental unification and offering them for adoption where current infrastructure falls short.

Trust instruments are filed with the Seychelles Financial Services Authority (FSA) registry protocols. The Trust's operational entity, The Ndege Group Nominees Limited, is incorporated in Kenya and is searchable via eCitizen and the Business Registration Service. The Trust entered its fourth foundational year in 2026.

The Ndege Group® is the operating brand under which The Ndege Group Nominees Limited functions as the sole fiduciary administrator and management company (ASDT ManCo) of Africa's Sovereign Development Trust®. It oversees all constituent entities, funds, assets, projects, and brands within the ASDT institutional ecosystem.

The name "Ndege" is derived from Swahili, meaning both a bird in flight and an aircraft, encapsulating freedom and capability in a single word. This etymology reflects the Trust's core ethos: visionary in outlook, yet firmly grounded in pragmatic, measurable action. Trademark registered at KIPI: No. 138986. The Ndege Group® was founded in 2022 by David Okiki Amayo Jr., who serves as Founder, Chairman, and Settlor of Africa's Sovereign Development Trust®. Grandson of the late KANU Chairman David Okiki Amayo, he spent his formative years across Kenya, South Africa, and the United Kingdom, studying international relations at the University of Westminster before contributing to the strategic establishment of Dubai Holding's Jumeirah Living brand.

The founder's family also includes Ambassador Lazarus O. Amayo, younger brother of the late David Okiki Amayo Sr. and known within the family as grandfather. A career Kenyan diplomat with postings across India, Zambia, the United Kingdom and the United States, he was appointed in 2024 as Special Envoy supporting President William Ruto's mandate as the African Union's Champion for Institutional Reforms. This is a family relationship, and it is disclosed here as one. It is not an institutional one: Ambassador Amayo has not endorsed ASDT® or the AFTF©, and neither he nor the African Union holds any responsibility for the Trust's activities.

He subsequently conceived Kenya's Hustler Fund, a micro-lending initiative that mobilised over half a billion dollars and reached more than 20 million Kenyans, making it one of the most rapidly scaled financial inclusion programmes on the continent. In his capacity as Settlor, Mr. Amayo retains exclusive intellectual property rights to the Trust's institutional architecture. He also holds copyright to the Hustler Fund©, the African Federation Treaty Framework©, and the United African Defence Force Framework©.

Guiding Principles

The Ndege Group® is guided by The African Charter©, a seminal document affirming permanent commitment to Africa's sovereignty, justice, and collective dignity. The Charter serves as the moral and strategic foundation for all of the Trust's endeavours, establishing seven foundational tenets:

The Trust's most advanced operational unit is its gold programme in the Democratic Republic of Congo, comprising an active concession, a cooperative, and an export company, with sustained engagement at local government level. Production capacity is targeted at one tonne per week by 2027. Ndege MarketPlace© is entering its Web App Beta launch in Q3 2026, with iOS and Android releases scheduled for Q3 2027. OmniGaza® is The Ndege Group's proprietary quantum-resistant blockchain platform and Africa's foundational sovereign economic operating system. The name derives from the English "Omniscient" and the Swahili "Mwangaza" (meaning light). It delivers 2-second transaction finality and 3,571 transactions per second throughput: sufficient for the full projected 2030 volume of the African Continental Free Trade Area.

The platform integrates four core pillars: securing key national digital registries; managing transparent sovereign finance via smart contracts for critical development projects; facilitating direct resource trading through Ndege MarketPlace©; and providing the secure logistics and technological backbone for Ndege Aerospace© and pan-African defence operations via the United African Defence Force℠.

OmniGaza® eliminates dollar and euro intermediation from intra-African commerce, removes the USD 88.6 billion annual drain of illicit financial flows, and provides automated KYC, AML, and ESG compliance through smart contracts. Strategic data infrastructure for OmniGaza® is currently undergoing migration to a primary base in Nairobi, affirming the principle that African data must be managed on African soil.

The African Rare Earth Mineral Fund© (AREMF©) is ASDT's sovereign vehicle for mineral acquisition, ethical extraction, processing, and tokenisation across Africa's most critical mineral jurisdictions. It operates a multi-decade mergers and acquisitions strategy focused on cobalt, gold, platinum group metals, lithium, rare earths, and diamonds across Angola, Ghana, Uganda, South Africa, South Sudan, Tanzania, and the Democratic Republic of Congo.

Every mine entry agreement and every transaction is recorded on the OmniGaza® blockchain, providing immutable transparency to host governments, communities, and the Pan African Court℠. Target capitalisation is USD 1 billion. A Chinese institutional equity overture of USD 2 billion, representing 200% of the fund's target, has been received seeking a non-majority equity stake. ASDT's capital preference remains offtaker agreements. The Trust does not sell what it was built to govern.

Frameworks

The African Federation Treaty Framework© (AFTF©) is the primary institutional architecture authored by David Okiki Amayo Jr. and designed by Africans to mathematically resolve the systemic failures perpetuating external economic dependence. Formally unveiled at the Sandton Symposium in December 2025, the AFTF© provides a definitive structural foundation for continental self-determination through technological, financial, and defensive integration.

The architecture addresses six fundamental paradoxes that have historically impeded pan-African unity: the Sovereignty Paradox (strategic cooperation without subordination); Trust and Verification (algorithmic transparency through operational security); Incentive Alignment (unity through the elimination of defection); Value Capture versus Value Creation (securing African wealth against neo-colonialism); the Legibility Problem (adapting global markets to African realities); and the Authority Bootstrap Problem (transitioning from institutional legitimacy to performance).

The AFTF© integrates the Central Bank of Africa℠, the Pan African Court℠, the United African Defence Force℠, OmniGaza®, The African Sovereign Development Finance Fund©, The African Rare Earth Mineral Fund©, and the Daudi Mutuku Fund for Education© as coordinated components of a unified continental architecture.

ASDT® operates as an independent institution in active complementarity with the African Union and its development architecture. The Trust has submitted the African Federation Treaty Framework© for ratification consideration and engaged formally with AUDA-NEPAD, the African Union Development Agency. The Ndege Group’s participation at the Alamein Africa Forum 2026, convened in El Alamein, Egypt, in October 2026, has been confirmed as an approved institutional delegate, reflecting the standing at which the Trust engages at continental level.

The AU’s Agenda 2063 mandates a continental central bank, a single currency, and a unified defence architecture. ASDT® has published the operative framework for all three, archived on Zenodo with global DOI assignment and protected under the Berne Convention across 170 countries. The intellectual property is registered, the frameworks exist in the public domain, and the relationship between ASDT® and the continental bodies that must engage with them will mature as those institutions’ own processes advance.

The Central Bank of Africa℠ (CBA℠) is the monetary sovereignty organ of the African Federation Treaty Framework©. It is the institutional architecture designed to deliver the mandates established by the African Union Agenda 2063 through a continental settlement infrastructure, a mineral-backed digital currency, and a judicially accountable monetary framework serving all 54 African nations.

ASDT® is actively developing the physical and technical infrastructure to serve African central banks, including a continental network of testing, hallmarking, processing, vaulting, and tokenisation facilities. Ndege Money©, the mineral-backed digital currency of the Central Bank of Africa℠, is currently transitioning through live testing on the OmniGaza® quantum-resistant blockchain ledger.

The Pan African Court℠ is proposed as the judicial sovereignty organ of the African Federation Treaty Framework©, designed to serve as the supreme arbiter of the continental legal architecture through a "Supremacy Override" mechanism intended to give Federation law authority over conflicting national statutes, once ratified by member states.

The African Sovereign Development Finance Fund© (ASDF©) is ASDT's principal development finance vehicle, mobilising sovereign capital for continental infrastructure, resource development, and institutional establishment. It provides low and no-interest capital facilities for on-continent mineral refinement. Within the ASDF© sits the African Defence Fund©, which specifically finances the equipment, training, and facilities of the United African Defence Force℠.

In terms of scale and capital mobilisation, the ASDF© sits alongside only Ndege Aerospace© in its capacity to target the volume of capital necessary to permanently change Africa's trajectory. All deployment is subject to the supreme judicial oversight of the Pan African Court℠ through the Master Sovereign Investment Agreement©.

The Continental Water Accord is a binding treaty instrument advancing under the African Federation Treaty Framework©, authored by David Okiki Amayo Jr. It establishes hydrological sovereignty as a continental commons, a judicially enforceable right to a minimum of 20 litres of clean water per person per day, a riparian rights architecture for shared watercourses, and the supersession of colonial water treaties, including the 1929 Anglo-Egyptian Treaty, with respect to all signatory states.

The Accord constitutes the Trans-boundary Water Tribunal as a specialised chamber of the Pan African Court℠, establishes the Continental Water Commission and the African Water Fund, and provides the governance architecture for the Continental Water Pipeline Network: long-distance conveyance infrastructure modelled on Europe's gas pipeline network, moving water from the Congo Basin and the Nubian Sandstone Aquifer System to water-scarce regions of the Sahel, Horn, and North Africa. Each cubic metre of water extracted and conveyed through the network is priced through tokenised Water Credits on the OmniGaza® platform, generating sovereign revenue distributed across source country royalties, pipeline maintenance, and African Water Fund capitalisation.

Africa holds approximately 30 per cent of the world's total freshwater reserves, with the Congo River discharging 41,000 cubic metres per second into the Atlantic Ocean without a governing framework. Alongside this abundance, 400 million Africans have no reliable access to clean water. The Continental Water Accord is the architecture that addresses both realities.

Africa's Sovereign Development Trust® operates as a privately constituted Purpose Trust, independent of the African Union in structure and governance. The African Federation Treaty Framework© is designed to align with the African Union's own stated ambitions for economic and defensive integration, including the Agenda 2063 mandate for a continental central bank, court and defence architecture; a mandate the AU has held since its founding and has not yet fully implemented.

ASDT® has not received, and does not claim, formal endorsement or partnership from the African Union. The Trust's work at this stage is preparatory, authoring the frameworks, building the technical infrastructure they would require, and remaining ready should any African government or the AU itself choose to adopt or partner on them.

The founder does have a family connection to a serving AU-affiliated diplomat, disclosed under "Who founded The Ndege Group®?" above. That relationship is personal, not institutional, and does not constitute AU endorsement of the Trust.

The Ndege Group is governed by:

All key governance roles are reserved for individuals of African descent, ensuring enduring African stewardship of the Trust's mission. A dedicated management company, The Ndege Group Nominees Limited, holds the Trust's core intellectual property and assets, ensuring enduring African ownership. Within this governance framework, the Settlor retains specific reserved powers as defined in the Trust's constitutional documents.

The Board of Trustees comprises experienced institutional investors and global leaders who influence and direct the Trust's strategic course through voting rights obtained via rights issues. They perform a vital oversight function, guaranteeing continuous compliance with The Ndege Group's core mandate and the principles of The African Charter©. All key governance roles are reserved for individuals of African descent, ensuring enduring African stewardship of the Trust's mission in perpetuity.

Transparency and rigorous accountability are cornerstone principles, ensured through:

These protections exist because the work is original. No generative tool contributes to, influences, or holds any claim over any part of it.

The Board of The Ndege Group Nominees Limited has elected to pursue Intermediary Services Platform Provider licensing from the Capital Markets Authority of Kenya and the Central Bank of Kenya, the respective regulatory authorities governing the Trust’s management company. This formalises the regulatory framework within which the management company’s financial and market-facing operations will be conducted as the institution advances into its operational phase.

The decision reflects the Board’s considered commitment to operating in full accordance with Kenya’s financial regulatory architecture, and positions the management company appropriately for the scope of services it is being built to deliver.

Ndege Gold© is ASDT's sovereign mineral acquisition and gold refinement mandate, operating under the African Rare Earth Mineral Fund© framework. The Ndege Gold Mines & Refineries tender (Project ID NG-TENDER-2025-008) was awarded to LINC Holdings International SARL, with an estimated transaction value exceeding EUR 500 million, securing operations anchored in the DRC with extensions into Uganda and South Sudan, incorporating artisanal cooperatives, trading SPVs, exploration and extraction permits, and associated licences.

Ndege Money© is Africa's sovereign digital currency infrastructure: an asset-backed, blockchain-native monetary system built on Coinbase's Base Layer 2 (an Optimistic Rollup on Ethereum), governed under the African Federation Treaty Framework©, and serving as the operational monetary layer of the African Federation. It is the technical realisation of what the African Union has been seeking to mandate through treaty for over three decades.

The system achieves 2-second settlement, transaction costs below USD 0.01, and a throughput ceiling of 3,571 TPS, sufficient for the entire AfCFTA's projected 2030 transaction volume. It integrates with M-Pesa, MTN MoMo, and Airtel Money through dedicated APIs and USSD pathways, utilising the mobile money infrastructure Africa has already built as the distribution network for a sovereign currency that serves African interests.

Ndege Money© is 100% asset-backed by the African Rare Earth Mineral Fund©. Physical reserves of cobalt, platinum, lithium, gold, and rare earth elements are held in African sovereign custody with quarterly third-party audit and on-chain proof of reserve. As global demand for these minerals rises, projected at 380% for cobalt and 418% for lithium by 2040 (IEA Critical Minerals Outlook 2024), the currency's reserve base strengthens accordingly.

Ndege Money© is the first currency whose reserve value is structurally positioned to appreciate alongside the global energy transition. The United African Defence Force℠ (UADF℠) is the central strategic command for the absolute protection of the African people, sovereign land, wildlife, and airspace, securing resource integrity and a unified African maritime border.
