I have read this Agreement in its entirety and have had adequate opportunity to seek independent legal counsel prior to execution. I enter into this Agreement voluntarily, with full understanding of its terms and without duress or undue influence. I acknowledge and confirm the five (5) year non-circumvention period for all Introduced Parties from the date of each introduction, and that circumvention shall attract liquidated damages of USD 20,000,000.00 or one hundred percent (100%) of the fees generated from any circumvented transaction, whichever is higher. I acknowledge that ASDT® retains all intellectual property rights in perpetuity, including The African Charter, The African Federation Treaty Framework, OmniGaza®, Ndege Money, Ndege Gold, Ndege Aerospace, and Ndege MarketPlace, and that no rights are transferred to me under this Agreement. I confirm that this Agreement is governed by the laws of the Republic of Kenya; that disputes shall be resolved by binding arbitration under the NCIA Arbitration Rules seated in Nairobi; and that upon full establishment of the Pan African Court of Justice, all disputes shall submit exclusively to its jurisdiction. I represent and warrant that I am duly authorised to execute this Agreement on behalf of the Receiving Party; that all information I have provided is true, accurate, and complete; and that neither the Receiving Party nor any of its beneficial owners is subject to any relevant sanctions or adverse legal proceedings that would impair performance of obligations herein. I acknowledge that this executed Agreement is immutably archived on the OmniGaza® sovereign ledger, that it carries full legal force and effect, and that it constitutes the entire agreement between the Parties superseding all prior negotiations and understandings relating to its subject matter.
