The Vision: We are establishing a new benchmark for resource management in Africa. The Ndege Gold Mines & Refineries project is a strategic joint venture to acquire and operate existing, approved gold sites in Uganda and South Sudan. The project aims to formalise and modernise the gold sector, moving away from artisanal methods towards a transparent and industrialised process. With Uganda's first large-scale mine now operational and South Sudan's vast, yet largely untapped, reserves, we are positioned to become a major force in the region's gold sector. Our commitment to unprecedented transparency, powered by our OmniGaza blockchain platform, will track every ounce from extraction to refinement, ensuring that the wealth generated directly benefits local communities and stakeholders.
Capital Allocation: North of €500M
Expected Impact: This venture is designed to be a direct catalyst for regional economic growth and stability. By partnering with entities compliant with or conversant with the local jurisdictions, we will create a secure, ethical, and highly profitable supply chain. The project will generate significant government tax revenue, create high-skill jobs, and provide a secure, transparent source of gold for global markets, fundamentally reshaping the industry's reputation on the continent.

The Ndege Group, Africa’s Sovereign Development Trust®, is seeking a strategic joint venture partner to acquire and operate approved gold mines and refineries in Uganda and South Sudan. The successful partner will be instrumental in developing a transparent and ethical mining supply chain, with a focus on modernising operations to meet international standards. A core component of this project is the integration of our proprietary OmniGaza blockchain platform to track all extracted resources and refined products, ensuring complete traceability and accountability.
Scope of Work
The successful bidder will be responsible for the following key deliverables:
Joint Venture Management: The establishment and co-management of a joint venture entity with a focus on operational and regulatory compliance in both Uganda and South Sudan.
Mining & Refining Operations: The comprehensive management of all mining and refining operations, including resource extraction, processing, quality control, and export logistics.
Blockchain Integration: The full implementation and operation of the OmniGaza blockchain platform to record and track every stage of the supply chain in real-time.
Ethical & Safety Standards: Ensuring all operations adhere to the highest international standards for worker safety, environmental protection, and community engagement.
Regulatory Compliance: Demonstrating a deep understanding of, and compliance with, the legal and regulatory frameworks governing the mining sectors in both Uganda and South Sudan.
Eligibility Requirements

Pedigree
A minimum of 15 years of proven experience in the mining and refining of gold, with a strong track record of successful operations in multiple jurisdictions, particularly in Africa, The Middle East, Europe and Asia.

Demonstrated Success
A strong portfolio of completed projects involving complex joint ventures with governments or local authorities, as well as the successful implementation of supply chain technology.

Operational Expertise
Demonstrated expertise in large-scale gold extraction and refining, with a clear understanding of advanced mining technology and logistics regulators in Kenya, South Sudan, Tanzania and Uganda.

Fiscal Strength
Audited financial statements for the past five consecutive years, clearly demonstrating sustained financial stability and the robust capacity to successfully undertake and manage a project of this significant magnitude.

Ethical Governance
An impeccable compliance record with no major legal, regulatory, or ethical violations. Bidders must show commitment to social responsibility and governance aligned with the Trust's values.
Submission Requirements

A comprehensive and detailed profile of the bidding entity, encompassing its complete legal structure, ownership framework, and the identification of key personnel involved in its management and operations.

A comprehensive and well-structured proposal clearly outlining the bidder’s approach to each critical element of the Scope of Work, including a detailed and realistic project timeline, a thoroughly developed proposed methodology, and a robust plan for effective operational management throughout the project duration.

A comprehensive, detailed, and itemised budget for the entire project, encompassing all associated costs, expenditures, and financial outlays, along with thoroughly proposed financial models tailored specifically for the Public-Private Partnership (PPP).

Case studies and detailed references for at least three past projects of similar scope and complexity, demonstrating relevant experience and successful outcomes.

All relevant company registration documents, licenses, and a sworn statement of compliance with all Kenyan laws and regulations.
